What is an Annual Report?

In Florida, a Limited Liability Company (LLC) or Corporation is formed by filing the articles of organization, or articles of incorporation, with the Florida Department of State. In order to maintain active status and remain in good standing with the state, the entity must submit an annual report each year by May 1.

The annual report provides a current snapshot of the entity information filed with the State, and is used to maintain records. Even if no changes are being made to the entity , the annual report must be filed. Annual reports can be submitted between January 1 and May 1, and the first annual report is due in the calendar year after the entity is formed. Any information submitted on the articles of organization or incorporation, as well as any subsequent annual report(s) will be made available for public view on the Florida Department of State Division of Corporations website, sunbiz.org.

Failure to file

A $400 late penalty is assessed for all filings after May 1, and the entity will be at risk of being administratively dissolved. After May 1, the entity is no longer compliant and will be administratively dissolved if the entity fails to file the annual report (and late fees) by the third Friday of September.
