Business Formation Attorney in Florida
Form Your LLC or Corporation the Right Way — Flat Fee. Attorney-Led. Done.
Starting a business in Florida is one of the most important legal decisions you will make as an entrepreneur. The entity type you choose, the documents you sign at formation, and the compliance steps you take in year one create the legal foundation everything else builds on.
That is why we designed the Solid Startup™ formation service: a structured, attorney-led formation process that goes beyond filing paperwork to give you a complete legal starting point for your business.
Whether you are forming an LLC, a corporation, or a nonprofit — and whether your business is in Hollywood, Miami, Fort Lauderdale, or anywhere across Florida — our flat-fee services give you attorney guidance without the open-ended billing.
Why Legal Formation Matters
Many founders skip legal formation or rely on online document filing services that process paperwork without providing legal advice. As a result, they often discover gaps — missing operating agreements, incorrect entity selection, or no compliance roadmap — only after problems arise.
A properly formed business gives you:
- Personal liability protection that separates your assets from business debts
- A legal structure that supports business banking, contracts, and financing
- The foundation to add partners, investors, or employees properly
- Credibility with clients, vendors, and institutions
- Tax treatment options unavailable to unformed or sole proprietor businesses
Moreover, the decisions made at formation — entity type, ownership structure, tax elections — are significantly easier and less expensive to get right from the start than to correct later.
What Type of Business Entity Can You Form in Florida?
Florida recognizes several types of business entities. The right choice depends on your ownership structure, tax goals, liability concerns, and growth plans.

How the Business Formation Process Works
Attorney-Led. Clear Steps. No Surprises.
Step 1 – Submit the Intake Form
Start by telling us about your business concept, preferred entity type, and formation goals. We review every submission before confirming the engagement.
Step 2 – Formation Strategy Call
Next, we schedule your formation strategy call. During this session, we confirm your entity type, discuss structure, ownership, and tax elections, and align on the formation plan.
Step 3 – Name Clearance & Document Preparation
From there, we conduct your Florida name clearance search and knockout search, then prepare your formation documents — Articles of Organization or Incorporation, Operating Agreement or Bylaws, and EIN application.
Step 4 – Filing & Registration
We file your formation documents with the Florida Division of Corporations and submit your EIN application to the IRS. If applicable, we also prepare your S-Corp election forms.
Step 5 – Digital Startup Binder Delivered
Finally, we deliver your Digital Startup Binder through our secure client portal. It includes all formation documents, your Year 1 compliance checklist, and next-step instructions so you know exactly what to do after formation.
Submitting an intake form does not create an attorney-client relationship. Representation begins only after a signed engagement agreement and payment are received.

Why Work With a Business Formation Attorney in Florida
Online formation services process paperwork. They do not provide legal advice, review your entity selection, draft customized agreements, or help you understand your compliance obligations after formation.
At Lamar Legal, every Solid Startup™ formation includes direct attorney involvement — not a paralegal processing a form on your behalf. Because we practice in Florida and focus on business law, we understand the local filing requirements, common structuring mistakes, and the practical steps that help new businesses operate cleanly from day one.
We serve clients throughout South Florida — including Hollywood, Fort Lauderdale, Miami, Boca Raton, and Pembroke Pines — as well as businesses forming in Florida from other states or countries.
Frequently Asked
Questions – Business Formation in Florida
-
What is the difference between an LLC and a corporation in Florida?
Q: What is the difference between an LLC and a corporation in Florida?
A: An LLC (Limited Liability Company) and a corporation both protect your personal assets from business liabilities, but they differ in structure, taxation, and formality. An LLC uses pass-through taxation by default — profits and losses flow directly to your personal tax return — and requires fewer ongoing formalities. A corporation has a more formal management structure (directors, officers, shareholders), can issue stock, and may be taxed at the corporate level (C-Corp) or elect pass-through taxation (S-Corp). For most small business owners and solo founders in Florida, an LLC offers the right balance of protection and simplicity. A corporation is often the better choice for businesses planning to raise investment capital or issue equity.
-
How much does it cost to form an LLC or corporation in Florida?
Q: How much does it cost to form an LLC or corporation in Florida?
A: Florida charges approximately $125 to file Articles of Organization for an LLC and approximately $70 to file Articles of Incorporation for a corporation, plus fees for additional required documents. Our Solid Startup™ formation services start at $2,500 (plus state filing fees) and include attorney-drafted documents, name clearance, EIN filing, and your Digital Startup Binder — not just a filing service.
-
How long does it take to form a business in Florida?
Q: How long does it take to form a business in Florida?
A: Standard processing through the Florida Division of Corporations typically takes 1–3 weeks. Our Solid Startup™ Core and Nonprofit services complete within 7–10 business days after intake; Growth tier completes in 10–14 business days; Brand Ready uses priority delivery. Expedited state filing is available and can reduce state processing to a few business days.
-
Do I need a lawyer to form an LLC in Florida?
Q: Do I need a lawyer to form an LLC in Florida?
A: Florida law does not require an attorney to form an LLC. However, an attorney-led formation ensures your entity selection, operating agreement, and tax elections are appropriate for your specific situation — not just a generic template. Mistakes made at formation, such as incorrect ownership structure or missing key provisions in your operating agreement, are often more expensive to correct later than to get right from the start.
-
What is an S-Corp election and should I make one?
Q: What is an S-Corp election and should I make one?
A: An S-Corp election is an IRS tax designation that allows an LLC or corporation to be taxed as a pass-through entity while avoiding self-employment tax on a portion of owner income. It is not a separate entity type — it is a tax treatment. Whether it makes sense depends on your net income level, salary expectations, and business structure. We prepare the S-Corp election forms as part of every Solid Startup™ formation, and we discuss whether election makes sense during your formation strategy call. We always recommend consulting a CPA or tax professional for the tax decision itself.
-
What is a Digital Startup Binder?
Q: What is a Digital Startup Binder?
A: Your Digital Startup Binder is a secure, organized collection of all your formation documents — including your Articles of Organization or Incorporation, Operating Agreement or Bylaws, EIN confirmation, and S-Corp election forms if applicable. It also includes a Year 1 compliance checklist and next-step instructions. We deliver it through our secure client portal so you have everything in one place and know exactly what to do after formation.
-
Is my business name a trademark once I form my company?
Q: Is my business name a trademark once I form my company?
A: No. Forming a business entity in Florida registers your name with the state for business purposes only. It does not create trademark rights or prevent others from using a similar name in other states or industries. Federal trademark protection requires a separate application with the USPTO. If brand protection matters to your business, our Solid Startup™ Brand Ready tier includes a trademark search and federal application, or you can use our standalone trademark services.
-
Can I form a Florida business if I live outside of Florida?
Q: Can I form a Florida business if I live outside of Florida?
A: Yes. You do not need to live in Florida to form a Florida entity. However, Florida does require a registered agent with a physical Florida address. Our firm can advise on registered agent requirements as part of your formation. We serve clients forming Florida entities from other states and from outside the United States.
